  1. DIGITAL INFOWORKS, LTD. 
  2. ELECTRONIC END USER LICENSE AGREEMENT 
  3.  
  4. DIGITAL INFOWORKS, LTD. ("LICENSOR") IS WILLING TO LICENSE THE 
  5. CyberLinks SOFTWARE ("SOFTWARE") TO YOU ONLY IF YOU ACCEPT ALL OF 
  6. THE TERMS IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS CAREFULLY 
  7. BEFORE YOU USE THE SOFTWARE, BECAUSE BY USING THE SOFTWARE YOU ARE 
  8. AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT 
  9. AGREE TO THESE TERMS, LICENSOR WILL NOT LICENSE THIS SOFTWARE TO YOU, 
  10. AND IN THAT CASE YOU SHOULD REMOVE THE SOFTWARE FROM YOUR COMPUTER.

  12. Ownership of the Software 
  13.  
  14. 1. The Software and the accompanying written materials are owned by 
  15. Licensor and are protected by United States copyright laws, by laws 
  16. of other nations, and by international treaties. 
  17.  
  18. Grant Of License 
  19.  
  20. 2. Licensor grants to you the right to use one copy of the Software 
  21. on a single computer. You may load one copy into permanent memory of 
  22. one computer and may use that copy only on that same computer. You may 
  23. install the Software on a single network server, provided that you 
  24. have a License for Network Station from Licensor for each station of 
  25. the network at which the Software is used. Evaluation versions of the 
  26. Software will stop functioning 30 days (thirty) after installation.

  28. Support

  30. 3. This license does not grant you any right to any enhancement or 
  31. update. This Agreement does not entitle you to any maintenance, 
  32. upgrades, patches, enhancements, fixes, new versions or other support 
  33. ("Support Programs") for the Software; provided, however, that if you 
  34. download or otherwise obtain in any manner any Support Programs they
  35. shall become part of the Software and the terms of this Agreement 
  36. shall apply.

  38. Restrictions on Use and Transfer 
  39.  
  40. 4. You may not copy the Software, except that (1) you may make one 
  41. copy of the Software solely for backup or archival purposes, and 
  42. (2) you may transfer the Software to a single hard disk provided you 
  43. keep the original solely for backup or archival purposes. You may not 
  44. copy the written materials. 
  45.  
  46. 5. You may permanently transfer the Software and accompanying written 
  47. materials (including the most recent update and all prior versions) if 
  48. you retain no copies and the transferee agrees to be bound by the terms 
  49. of this Agreement. Such a transfer terminates your license. You may not 
  50. rent or lease the Software or otherwise transfer or assign the right to 
  51. use the Software, except as stated in this paragraph.

  53. 6. You may not reverse engineer, decompile, or disassemble the Software. 
  54.  
  55. No Warranty 
  56.  
  57. 7. The Software is being delivered to you AS IS and LICENSOR makes no 
  58. warranty as to its use or performance. LICENSOR AND ITS SUPPLIERS DO 
  59. NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY 
  60. USING THE SOFTWARE OR DOCUMENTATION. LICENSOR AND ITS SUPPLIERS MAKE NO 
  61. WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY 
  62. RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO 
  63. EVENT WILL LICENSOR OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL,
  64. INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS,
  65. EVEN IF A LICENSOR REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF 
  66. SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.

  68. 8. Some states or jurisdictions do not allow the exclusion or limitation 
  69. of incidental, consequential or special damages, or the exclusion of 
  70. implied warranties or limitations on how long an implied warranty may last,
  71. so the above limitations may not apply to you.

  73. Governing Law and General Provisions
  74.  
  75. 9. This Agreement is governed by the laws of the State of Ohio. 
  76.  
  77. 10. U.S. Government Restricted Rights. The Software and documentation are 
  78. provided with Restricted Rights. Use, duplication, or disclosure by the 
  79. Government is subject to restrictions set forth in subparagraph (c)(1) 
  80. of The Rights in Technical Data and Computer Software clause at DFARS 
  81. 252.227-7013 or subparagraphs (c)(1)(ii) and (2) of Commercial Computer 
  82. Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
